These Terms govern your use of Uisdom (“Uisdom”, “we”, “us”), an online service that analyzes websites and rebuilds them with AI-assisted design. By creating an account or otherwise using the service you agree to these Terms.

2. The service
Uisdom lets you submit the URL of a website you control, runs an analysis on it, and generates a new website you can edit, publish on a Uisdom subdomain, and optionally connect to your own domain. The service is sold on a recurring subscription with optional credit top-ups.
3. Eligibility — business customers only (B2B)
This service is intended exclusively for business customers (B2B). If you are a consumer within the meaning of § 13 BGB, please do not use the service. The consumer right of withdrawal (§§ 355 ff. BGB) does not apply.
By signing up you confirm that you are a business (entrepreneur in the sense of § 14 BGB), a legal entity, or otherwise acting in a professional or commercial capacity.
4. Your account
You must provide accurate information when creating an account, keep your credentials secure, and notify us immediately if you believe your account has been compromised. You are responsible for all activity under your account.
5. Subscription, billing, cancellation
Subscriptions renew automatically until cancelled. You can cancel at any time from your billing settings; the cancellation takes effect at the end of the current billing period. Top-up credits are non- refundable and expire after six months. Prices and plans may change for future billing cycles with at least 14 days’ notice.
6. Your content, AI outputs, and the platform
What you provide. You own the URLs you submit, the text and images on the websites you generate from them, and any custom domain you connect. You confirm that you have the right to use every URL, image, text, logo, and other asset you submit or that appears on a website you generate with Uisdom. You grant us only the limited, non-exclusive licence we need to process, store, and serve your content for the duration of your subscription.
What the platform produces. Uisdom grants you a non-exclusive, perpetual, worldwide licence to use and publish the AI-generated outputs (the rebuilt website, copy, layout choices) for your business. You may continue to host and publish those outputs after your subscription ends. The licence does not extend to redistributing, sublicensing, or reselling the outputs as a stand-alone product.
What stays ours. Uisdom retains all rights to the underlying platform, including the templates, design tokens, generation prompts, scoring logic, and source code. AI outputs may be similar across customers — different customers may receive structurally similar layouts, sections, or wording. We do not guarantee the uniqueness of any AI output.
Third-party rights. If a third party claims that your content infringes their rights, that is your responsibility to resolve. See also §13 (Indemnification) below.
7. Acceptable use
You agree not to use Uisdom to: (a) build, host, or distribute content that is illegal, defamatory, hateful, sexually explicit, or invasive of someone else’s privacy; (b) impersonate another person or organisation; (c) attempt to break, probe, or overload our infrastructure; (d) reverse-engineer, scrape, or resell the service; (e) violate any applicable law or third-party right.
We may suspend or terminate any account at our discretion if we reasonably believe these rules are being violated.
8. AI providers and your data
We send your prompts and the source HTML of the website you analyze to a third-party AI provider for the duration of each generation request. We maintain commercial agreements with our AI providers that prohibit the use of your data to train or improve the underlying AI models. If these terms ever change, we will notify you in advance and you will have the right to terminate accordingly.
9. No warranty for uptime or availability
Uisdom is provided “as is”. We make no guarantee that the service or the websites you publish through it will be uninterrupted, error-free, or available at any specific time. Outages can happen because of issues at our infrastructure providers, your domain registrar, your DNS provider, network problems between your visitors and us, or scheduled maintenance.
We do not cover any loss, expense, or harm caused by such outages, including (without limitation) lost revenue, lost leads, lost sales, search-ranking changes, advertising spend that ran while a site was unavailable, or third-party costs you may incur.
10. No liability for problems caused by your content or actions
You are solely responsible for the websites you generate and publish with Uisdom. We are not liable for any consequences arising from the content of those websites — including (without limitation) inaccurate information, broken business logic, intellectual-property disputes, regulatory non-compliance (e.g. cookie law, accessibility, consumer protection), or harm caused to your visitors.
11. Limitation of liability
We are liable without limitation for damages arising from intent or gross negligence, for damages from injury to life, body, or health, and under the mandatory provisions of the German Product Liability Act (Produkthaftungsgesetz).
In cases of negligent breach of material contractual obligations (wesentliche Vertragspflichten/ “Kardinalpflichten”) — i.e. obligations whose fulfilment is essential to enable the proper performance of these Terms and on which you regularly rely — our liability is limited to the foreseeable, contract-typical damage.
Any further liability — in particular for indirect or consequential damages, lost profits, lost revenue, lost leads or sales, loss of data, loss of goodwill, or third-party costs — is excluded to the fullest extent permitted by law. To the extent our liability is not excluded above, the total aggregate liability of Uisdom arising out of or relating to these Terms is in any event capped at the amount you actually paid us in the twelve months immediately preceding the event giving rise to the claim.
12. No-fault hosting events
For the avoidance of doubt and in addition to §11: we are not liable for any losses caused by hosting downtime, DNS issues, custom-domain misconfiguration, third-party CDN outages, or any other technical event outside our reasonable control, regardless of the legal basis.
13. Indemnification
You agree to indemnify, defend, and hold Uisdom (and its operators, employees, and contractors) harmless from and against any third- party claims, damages, losses, fines, and reasonable legal fees arising out of or related to: (a) content you submit to Uisdom or publish through Uisdom; (b) your violation of any third-party right (including intellectual-property, privacy, or publicity rights); (c) your violation of any law or regulation; or (d) your breach of these Terms.
We will notify you promptly of any such claim and reasonably cooperate with you. You may not settle any claim that imposes any obligation on Uisdom without our prior written consent.
14. Third-party services
Some features rely on third-party services (for example, payment processing, email delivery, AI inference, and hosting). Their terms and privacy practices apply to your use of those features. We are not responsible for the availability, performance, or actions of any third-party service.
15. Termination
You can terminate your account at any time. We may terminate or suspend your access if you breach these Terms or stop paying for an active subscription. Sections that by their nature survive termination — including ownership, the perpetual licence to AI outputs in §6, disclaimers, limitation of liability, indemnification, and governing law — continue to apply.
16. Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page and update the “Last updated” date. Material changes will be communicated by email or in-product notice where reasonably practical. Continued use of the service after the effective date means you accept the updated Terms.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Berlin, Germany.
