Uisdom is an AI-powered platform that analyzes websites based on a user-provided URL and generates or rebuilds website drafts using AI-assisted design. Features allow you to edit, publish on a Uisdom subdomain, and optionally connect custom domains.

Features, pricing, and available plans may change over time. Material changes to the service, pricing, or these Terms will be communicated with reasonable notice.

You must provide accurate information when creating an account, keep your credentials secure, and notify us immediately if you believe your account has been compromised. You are responsible for all activities and usage that occur under your account.

Billing and renewal: Subscriptions operate on a recurring billing model (e.g., monthly), renewing automatically until cancelled through your billing settings. Cancellation takes effect at the end of the current billing period.

Credits: Optional top-up credits are consumed when analyzing, generating, or editing websites. Top-up credits are one-time purchases, carry no cash value, and expire six (6) months after purchase.

Refunds: Because credits and server resources are consumed immediately upon use, all purchases are final. No pro-rata refunds are issued for partial billing cycles. Any money-back guarantees offered at initial purchase do not apply to plan upgrades; upgrades are treated as a new, non-refundable agreement.

Price changes: We reserve the right to adjust pricing with at least 30 days' notice. You will be notified individually via email or in-product notification and informed of your right to terminate before the changes take effect. Non-termination within the notice period constitutes acceptance of the new pricing.

User content: You retain full ownership of all original content, data, logos, text, and images you submit to Uisdom, as well as the URLs you analyze. You grant Uisdom a limited, non-exclusive, worldwide, royalty-free license to process, store, and serve this content solely to provide the service to you.

AI-generated output license: Subject to your compliance with these Terms and payment of relevant fees, Uisdom grants you a non-exclusive, worldwide, perpetual license to use, modify, and publish the AI-generated website outputs for your own business purposes.

Platform rights: Uisdom retains all rights, title, and interest in and to the underlying platform, templates, algorithms, core code structures, models, and technology.

Exclusivity: AI-generated outputs may be similar or identical to outputs produced for other users based on similar prompts or designs. We do not guarantee visual or functional uniqueness or exclusivity.

AI model training: We maintain contractual agreements with our core upstream AI providers that prohibit the use of your input data or generated data for model training. Should a provider materially alter these terms, we will notify you.

You agree not to use Uisdom to: build, host, or distribute content that is illegal, defamatory, hateful, sexually explicit, or invasive of privacy; impersonate another person, trademark, or organization; reverse-engineer, scrape, copy, or redistribute the platform infrastructure, code, or its outputs for the purpose of building a competing product or service; or attempt to compromise, probe, or overload our hosting infrastructure.

We reserve the right to suspend or terminate accounts immediately and without notice for critical security breaches, fraud, or violations of this Section. For non-critical breaches, we will endeavor to provide 14 days' notice to remedy the breach.

The service and all generated website outputs are provided "as is" and "as available" without warranties of any kind, express or implied.

AI output risk: AI-generated layouts, code, text, and styling may contain errors, design flaws, hallucinations, or material that does not comply with local laws. You acknowledge that website generation may involve automated or sandboxed code execution. You are solely responsible for reviewing, testing, and ensuring the technical accuracy, suitability, and legal compliance (including but not limited to GDPR, cookie consent laws, data privacy, accessibility, and consumer protection laws) of any website before publishing it or pointing a live domain to it.

You agree to indemnify, defend, and hold harmless the Uisdom GbR, its partners, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal and attorney fees) arising out of or related to: (a) content or URLs you provide as input, analyze, or publish using the service; (b) your violation of these Terms; (c) your violation of any third-party rights, including but not limited to intellectual property, copyright, trademark, or privacy rights.

This obligation survives the termination of these Terms.

Unrestricted liability: Nothing in these Terms limits or excludes our liability for intent (Vorsatz), gross negligence (grobe Fahrlässigkeit), injury to life, body, or health, or liability under the German Product Liability Act (Produkthaftungsgesetz).

Material contractual obligations (Kardinalpflichten): In cases of a simply negligent breach of a material contractual obligation, our liability is limited to the foreseeable, contract-typical damage. Material contractual obligations are those whose fulfillment is essential for the proper execution of the contract and on whose compliance you regularly rely.

Liability cap: To the maximum extent permitted by law, and outside of the unrestricted liability cases mentioned above, our total aggregate liability for all claims arising out of or relating to these Terms or the use of Uisdom is limited to the amount you actually paid us in the twelve (12) months immediately preceding the event giving rise to the claim.

Consequential damages: We are not liable for indirect damages, lost profits, loss of data, loss of business continuity, search-ranking drops, or advertising spend incurred while a generated site was down.

The service relies on external, third-party providers for infrastructure, hosting servers, payment processing, and AI API delivery. We are not liable for outages, performance degradations, data losses, or issues caused entirely by these third-party systems or your domain/DNS registrars.

Neither party shall be liable for any failure or delay in performing its obligations where such failure results from circumstances beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, power grid failures, global internet or telecommunication outages, or widespread cyberattacks (Force Majeure).

These Terms are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent permissible under German law (e.g., between commercial entities / Kaufleute), the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, Germany.

Dispute resolution: Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for a period of 30 days.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial and legal intent.
